The terms behind the diagnostic.
Last updated July 20, 2026. These terms govern the DTC Operator Diagnostic and the tools at commercecatalyst.ai, provided by Commerce Catalyst Ventures Inc ("Commerce Catalyst," "we").
By purchasing or using the diagnostic, you agree to these terms. If you do not agree, do not use it.
1. What the diagnostic is
The diagnostic is a self-serve operating read of a consumer brand based on the numbers and answers you provide. It produces a financial-health score, operating-risk flags, and a 90-day operating priority. It is a decision-support tool, not a professional service engagement.
2. Your inputs
You are responsible for the data you enter and for having the right to provide it. The quality of the report depends on the quality of your inputs. Required processing consent allows Commerce Catalyst to securely process and store those inputs to generate, save, and compare your reports under the Privacy Policy. Processing consent is separate from marketing consent.
3. Payment and access
The diagnostic is a one-time US$197 purchase processed by Stripe and includes one rerun as described at checkout. Stripe’s verified checkout email is the identity for the purchase. Stripe may send a purchase receipt. Commerce Catalyst sends only access-code verification, recovery, report-ready, and rerun reminder emails for this product. Product access does not create an automatic marketing opt-in.
Access is granted for your own business use. Do not resell, redistribute, or share access or the report as a commercial product.
4. Refunds
If you paid but the report did not generate because of a technical problem on our end, email chris@commercecatalyst.ai within 7 days of purchase from the address tied to your payment. We will get it working or refund you in full. Once your report has generated, the purchase is final. See the Refund Policy.
5. Acceptable use
Do not attempt to break, scrape, overload, or reverse-engineer the service, bypass payment, or use it unlawfully.
6. No warranty
The service is provided "as is," without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that the outputs are accurate, complete, or suitable for any specific decision.
7. Limitation of liability
To the maximum extent permitted by law, Commerce Catalyst Ventures Inc will not be liable for any indirect, incidental, or consequential damages arising from your use of the diagnostic, and our total liability is limited to the amount you paid for it.
8. Indemnification
You agree to indemnify and hold harmless Commerce Catalyst Ventures Inc from any claim, loss, or demand arising out of your use of the diagnostic, the inputs you provide, or your breach of these terms.
9. Your data and privacy
How we handle the information you enter is described in our Privacy Policy. Inactive drafts are retained for 90 days. Generated inputs and saved report content are retained for 24 months after the most recent run. While authenticated, you can export your product data or delete drafts, saved report content, owner assignments, recovery tokens, and active sessions. Minimal entitlement and transaction records remain for access administration, accounting, and dispute records. We do not sell your personal information or share it beyond the providers needed to deliver and secure the diagnostic.
10. Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New York.
11. General
If any provision of these terms is found unenforceable, the rest remain in effect. We are not liable for delays or failures caused by events beyond our reasonable control. You may not assign these terms; we may assign them to a successor in connection with a merger, acquisition, or sale of assets. These terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Commerce Catalyst Ventures Inc regarding the diagnostic.
12. Changes
We may update these terms; the "last updated" date above reflects the current version. Continued use after a change means you accept the updated terms.
